CeloHT Financial FAQ

Version: 1.0 Last Updated: August 2026 Status: Active


Purpose

This document answers common questions from investors, donors, grant reviewers, and partners about how CeloHT manages, approves, reports on, and safeguards its finances. It summarizes and links to the full Financial Governance document suite, rather than replacing it.

Scope

This FAQ covers general financial-governance questions. For binding policy detail, refer to the specific document cited in each answer.

Review Schedule

Reviewed annually per GOVERNANCE.md Section 21, and whenever a referenced policy document changes materially.


1. How are CeloHT's funds managed?

CeloHT funds are managed by a three-person Treasury Committee under Governance Council oversight, using multi-signature custody controls so that no single individual can move funds unilaterally. Full detail is in TREASURY.md.

2. Who approves spending?

Approval authority depends on the amount: expenses under $500 require Treasury Committee 2-of-3 sign-off, expenses between $500-$5,000 require unanimous Treasury Committee approval plus the relevant Working Group Lead's sign-off, and expenses above $5,000 require a Governance Council Absolute Majority vote. 3. Does the Founder control the treasury?

No. The Founder, Johnny Dubic, holds one seat and one vote on the Governance Council and no unilateral treasury authority. All treasury decisions above routine thresholds require multi-person approval, and the Founder is subject to the same conflict-of-interest and recusal rules as every other role holder. 4. How are financial reports published?

CeloHT publishes a Monthly Report, a Quarterly Report (within 30 days of quarter-end), an Annual Report (within 60 days of year-end), and a quarterly Treasury Summary, using the standard templates in FINANCIAL_REPORTS.md. Reports are published in CeloHT's documentation hub.

5. What if a report doesn't have data yet?

CeloHT states "Not Yet Available," "Pending Publication," or "To Be Announced (TBA)" rather than fabricating or estimating figures. As of this document's publication date, CeloHT's financial reporting is in early formation, and this is disclosed openly throughout the Financial Governance document suite.

6. How are conflicts of interest handled in financial decisions?

Any individual with a personal or financial stake in a decision must disclose it before the decision is made, may contribute information but not vote, and is not counted toward quorum for that vote. Related-party transactions require approval exclusively from unconflicted decision-makers and are flagged in financial reporting. Full detail is in CONFLICT_OF_INTEREST_FINANCE.md.

7. How does CeloHT select vendors?

Vendor selection is based on documented, comparable criteria (capability, cost, reliability, mission alignment), with competitive comparison required above defined thresholds where practicable. Conflicts of interest in vendor selection follow the same disclosure and recusal rules as any other financial decision. See PROCUREMENT_POLICY.md.

8. Does CeloHT accept donations with conditions attached?

CeloHT accepts restricted donations only where the designated purpose is realistically achievable, and declines conditions inconsistent with its mission, governance independence, or non-token identity. See DONATION_POLICY.md.

9. Does CeloHT issue tax receipts?

Not currently. CeloHT does not hold nonprofit or tax-exempt registration in any jurisdiction as of this document's publication date. Donors should consult their own advisors regarding the tax treatment of any contribution. See LEGAL_STATUS.md Section 3 and Section 8.

10. Has CeloHT been audited?

Not yet. CeloHT commits to an annual independent financial review once its annual treasury flow exceeds $50,000 USD-equivalent, and may commission a voluntary review earlier at the Governance Council's discretion. See AUDIT_POLICY.md.

11. How does CeloHT decide how much funding goes to each program area?

Allocation decisions weigh mission alignment, programmatic readiness, restricted-funding obligations, reserve adequacy, community input, and prior-period performance. CeloHT does not publish fixed percentage targets in advance; actual allocations appear only in dated, approved Budget Summaries. See FUND_ALLOCATION_FRAMEWORK.md.

12. What reserves does CeloHT maintain?

CeloHT maintains an Operating Reserve (minimum three months of core costs), an Emergency Reserve (for urgent, unplanned needs), and a Sustainability Reserve (for long-term institutional development). See RESERVE_POLICY.md.

13. What happens if there's a financial emergency?

Emergency expenses may be authorized by any available Treasury Committee or Council member, limited to the minimum necessary amount, and must be publicly reported within 72 hours and ratified by the Governance Council within 14 days. See EXPENSE_APPROVAL_POLICY.md Section 3 and GOVERNANCE.md Section 4.5.

14. How can I verify CeloHT's financial claims?

All financial policies and, once published, financial reports are available in CeloHT's public governance repository and documentation hub. Independent review findings, once conducted, are published per AUDIT_POLICY.md Section 4. Reviewers are encouraged to cross-check figures across TREASURY.md, FINANCIAL_REPORTS.md, and FUND_ALLOCATION_FRAMEWORK.md for consistency.

15. Who can I contact with financial questions?

Financial and treasury-related inquiries can be directed to the Finance Working Group through CeloHT's official channels listed in the documentation hub, consistent with LEGAL_STATUS.md Section 24.
