IMPORTANT - READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Kaizen Strategic AI Inc., doing business as Kaizen DSP ("Licensor", "we", "us", or "our") for the Choroboros Beta audio plugin software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software Product"). This Agreement governs pre-release beta builds that Licensor distributes in compiled form (for example via installer, signed package, or other official download channels).
By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software Product.

Official beta binaries from Licensor. The compiled Software Product (VST3, AU, AAX where offered, Standalone, and bundled resources) that you obtain from Kaizen / Kaizen DSP is licensed to you under this EULA, not under the GNU General Public License (GPL). Licensor uses the JUCE framework under a commercial license from Raw Material Software Limited for building and distributing this product, in addition to Licensor’s own rights in the Software Product.

Public source on GitHub. Licensor may publish corresponding or related source code for transparency, collaboration, or community builds at the public repository. That source is offered under GPLv3 (see the
LICENSE/COPYINGfiles there). If you compile the Software Product yourself from that GPLv3-covered source, your use and distribution of your own build is governed by GPLv3, not this EULA. This EULA applies to official beta binaries Licensor provides, not to third-party or self-built binaries unless Licensor expressly states otherwise. -
Commercial development. Licensor may maintain separate private or commercial repositories; presence of public source does not by itself waive proprietary rights in official beta binaries distributed under this EULA.
Subject to the terms and conditions of this EULA, Licensor hereby grants you a limited, non-exclusive, non-transferable, revocable license to:
(a) Install and use the Software Product on computers under your control for your personal or commercial audio production purposes;
(b) Use the Software Product in connection with compatible digital audio workstation (DAW) software;
(c) Create derivative works (such as audio recordings) using the Software Product, which you may use, distribute, and commercialize without restriction.
This license does not grant you any rights to:
- Redistribute, sublicense, or resell the Software Product;
- Reverse engineer, decompile, or disassemble the Software Product;
- Remove or alter any copyright, trademark, or other proprietary notices;
- Use the Software Product in any manner that violates applicable laws or regulations.
The Software Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software Product is licensed, not sold. All title and copyrights in and to the Software Product (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software Product), the accompanying printed materials, and any copies of the Software Product are owned by Kaizen Strategic AI Inc. or its suppliers.
The Software Product contains proprietary audio processing algorithms, including but not limited to:
- Purple Engine Algorithms: The two proprietary algorithms implemented in the Purple engine ("Phase-Warped Chorus" and "Orbit Chorus") are proprietary intellectual property of Kaizen Strategic AI Inc. These algorithms are protected by trade secret law and may be subject to patent applications. You are expressly prohibited from:
- Reverse engineering, decompiling, or disassembling these algorithms;
- Extracting, copying, or reimplementing these algorithms in any form;
- Using these algorithms in any other software or product without explicit written license from Kaizen Strategic AI Inc.;
- Distributing, sublicensing, or otherwise making these algorithms available to third parties.
Any unauthorized use, reproduction, or distribution of these proprietary algorithms constitutes a violation of this EULA and may result in legal action.
The Software Product incorporates the JUCE framework, which is subject to its own license terms. JUCE is either:
- Licensed under the GNU General Public License v3.0 (GPLv3), or
- Licensed under a commercial license from Raw Material Software Limited

The Software Product, including all source code, graphical user interface designs, visual assets, audio processing code, and sound design, was created and developed by Gabriel Lacroix Marko, founder of Kaizen Strategic AI Inc. All rights in the Software Product, except for third-party components licensed separately, are owned by Kaizen Strategic AI Inc.
You may NOT:
(a) Copy, modify, adapt, alter, translate, or create derivative works of the Software Product;
(b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
(c) Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software Product or any features or functionality of the Software Product, to any third party for any reason;
(d) Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) of Licensor or its suppliers on the Software Product;
(e) Use the Software Product for any illegal purpose or in violation of any local, state, national, or international law;
(f) Use the Software Product to create, develop, or distribute any software or product that competes with or is substantially similar to the Software Product;
(g) Use the Software Product in any automated system or process without prior written consent from Licensor;
(h) Attempt to gain unauthorized access to any portion of the Software Product or any related systems or networks;
(i) Use the Software Product in any manner that could damage, disable, overburden, or impair any Licensor server or network;
(j) Extract, copy, or reimplement the proprietary Purple engine algorithms for any purpose.
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this EULA. Upon termination of the license, you shall cease all use of the Software Product and destroy all copies, full or partial, of the Software Product.
THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE PRODUCT IS WITH YOU. SHOULD THE SOFTWARE PRODUCT PROVE DEFECTIVE, YOU ASSUME THE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, LICENSOR'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
You acknowledge that the Software Product may be subject to export restrictions. You agree to comply with all applicable international and national laws that apply to the Software Product, including the Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by the relevant government agencies.
The Software Product is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable.
This EULA shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.
This EULA constitutes the entire agreement between you and Licensor relating to the Software Product and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software Product or any other subject matter covered by this EULA.
If any provision of this EULA is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and such decision shall not affect the enforceability of such provision under other circumstances or of the remaining provisions hereof under all circumstances.
