AGPL-3.0 Commercial Exception Agreement
Version 1.0, March 2026

━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

1. PURPOSE

Signet Forge is licensed under the GNU Affero General Public License v3.0
or later (AGPL-3.0-or-later). This Commercial License Exception ("Exception")
grants the purchasing organisation a private contractual right to use Signet
Forge in proprietary, closed-source, and hosted service deployments without
the source-disclosure obligations imposed by AGPL-3.0 §§4, 5, and 13.

This Exception does not replace the AGPL-3.0. It supplements it for
organisations that cannot or do not wish to comply with AGPL-3.0's copyleft
and network-use provisions.

2. WHAT THE COMMERCIAL LICENSE GRANTS

Upon execution of a commercial license agreement and payment of applicable
fees, Signet Stack grants the licensee a non-exclusive, non-transferable,
non-sublicensable right to:

  (a) Incorporate Signet Forge into proprietary, closed-source products and
      distribute those products to customers without disclosing source code;

  (b) Operate Signet Forge as part of a hosted, cloud, or SaaS service
      without triggering AGPL-3.0 §13 network-use copyleft obligations;

  (c) Modify Signet Forge internally without any obligation to publish or
      contribute those modifications back to the public repository;

  (d) Sub-license the Exception rights to subsidiaries within the licensee's
      corporate group, subject to the seat or deployment limits in the
      applicable order form.

3. WHAT THE COMMERCIAL LICENSE DOES NOT GRANT

  (a) The right to remove or alter copyright notices or SPDX identifiers
      in source files;

  (b) The right to use Signet Stack's trademarks, trade names, logos, or
      service marks;

  (c) Any warranty beyond what is expressly stated in the commercial
      agreement;

  (d) Rights to any version of Signet Forge released after the licensee's
      subscription or maintenance period expires, unless renewed.

4. LICENSE TIERS

Signet Stack offers the following standard tiers. All pricing is annual
subscription. Perpetual licenses with annual maintenance are available on
request.

  Starter       — Up to 5 developers, 1 production deployment node.
                  Includes email support (2 business day SLA).

  Professional  — Up to 25 developers, up to 10 production deployment nodes.
                  Includes priority email + video support (1 business day SLA),
                  quarterly dependency and CVE review.

  Enterprise    — Unlimited developers and deployment nodes.
                  Includes dedicated support channel, indemnification clause,
                  custom SLA, SBOM attestation, and audit assistance.

  OEM / ISV     — Redistribution rights: embed Signet Forge in a product
                  shipped to your customers. Pricing based on deployment volume.
                  Requires separate OEM agreement.

5. HOW TO OBTAIN A COMMERCIAL LICENSE

Please include your organisation name, intended use case, expected deployment
scale, and any compliance framework requirements (FIPS 140-3, FedRAMP, MiFID
II, EU AI Act, HIPAA, etc.). You will receive a response within 2 business
days.

6. OPEN SOURCE USE

If you are using Signet Forge in an open source project licensed under
AGPL-3.0 or a compatible copyleft license, no commercial license is required.
The full text of the AGPL-3.0 is in the LICENSE file in this repository.

Academic and government users may use Signet Forge under AGPL-3.0 without
a commercial license, provided their use complies with AGPL-3.0's terms.

7. CONTRIBUTOR LICENSE AGREEMENT

External contributors to Signet Forge must sign a Contributor License
Agreement (CLA) before their contributions can be merged. The CLA assigns
Signet Stack sufficient rights to offer Signet Forge under both AGPL-3.0
and this Commercial License Exception. See CLA.md for details.

8. DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNET FORGE IS PROVIDED
"AS IS" WITHOUT WARRANTY OF ANY KIND. SIGNET STACK DISCLAIMS ALL WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL SIGNET STACK BE
LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE USE OF
SIGNET FORGE.
