Subject to the terms and conditions of this License, the Licensor hereby grants to You a worldwide, non-exclusive, non-sublicensable license to:

(b) You may not use the Licensed Work to operate a commercial service that directly competes with the Licensed Work, including but not limited to:
i. Offering the same or substantially similar educational software
service to third parties on a commercial basis;
ii. White-labeling, rebranding, or reselling the Licensed Work as a
standalone commercial service;
iii. Using the Licensed Work to create a substantially similar
competitive educational software service.
(c) Educational institutions may use the Licensed Work to support their own internal educational operations and activities, provided they comply with the user and revenue thresholds specified in the Additional Use Grant.
You may distribute copies of the Licensed Work and modifications to the Licensed Work, provided that You:
(a) Give any recipients a copy of this License; (b) Retain all copyright, patent, trademark and attribution notices; (c) If You modify the Licensed Work, You must identify that Your modifications are derived from the Licensed Work; and (d) Ensure that anyone receiving the Licensed Work from You is bound by the terms of this License.
If Your usage exceeds the thresholds specified in the Additional Use Grant, You agree to:
(a) Pay the Licensor €25 per user per year; (b) Report the number of users to the Licensor on a quarterly basis; (c) Make payments within 30 days of the end of each quarter.
The License is effective until terminated. It will terminate automatically if You fail to comply with any term of this License. Upon termination, You must cease all use and distribution of the Licensed Work.
On the Change Date, this License will terminate and the Licensed Work will be made available under the Change License.
THE LICENSED WORK IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE LICENSED WORK.
