Build an M&A data room or a due diligence data room for investors straight from your agent session — documents, access control, identified viewers — and then find out who actually read what. A data room for startups raising a round, without a VDR dashboard to click through.
Not a folder of links with a hopeful "please don't share this." A room with a passcode or an invite list, an NDA, an expiry date, and per-viewer engagement you can act on.
A data room for investors is an access-controlled set of company documents — metrics, financials, cap table, customer proof, legal — shared at one URL during a fundraise or acquisition. Unlike a shared folder link, it identifies each viewer, can require an NDA before entry, and records which documents each investor opened and how long they spent. That engagement data is the point: it is the earliest honest signal in a process.
The order diligence actually runs:
- Company overview — the one-pager or memo; the narrative
- Metrics / KPIs — growth, retention, unit economics
- Financials — P&L, burn, runway, projections
- Cap table — current ownership and option pool
- Customer proof — case studies, references, key contracts
- Legal — incorporation docs, IP assignments, material agreements
This skill assembles a seed/Series A room in exactly that order, so nobody emails you asking where the cap table is. For an M&A data room, the same structure holds with a heavier legal/contracts section and a diligence index up front.
- Assemble the room from documents you publish in the same session — cap table, metrics, contracts, customer proof — in the order diligence actually runs.
- Gate it properly. Choose how viewers get in: a magic-link by email, a shared passcode, or a strict allowlist. Add an NDA they accept before entry and an expiry date. (Watermarking and download control are on the roadmap — configurable today but not yet enforced.)
- Invite named viewers one email at a time, and revoke any of them instantly — revocation ends their live sessions, not just future ones.
- Report per-viewer engagement: for each identified viewer and each document, opens and dwell time. "The lead spent nine minutes on pricing and never opened the deck" is a follow-up plan, not a vanity metric.
- Keep your documents standalone. Adding a document to a room never unpublishes or moves it — it stays a first-class page you can share separately.
The difference is who does the assembly. In DocSend or a traditional virtual data room (iDeals, Datasite, Intralinks) you upload files into a dashboard and configure permissions by hand. Here, the agent that produced the documents also builds the room, gates it, and reads the analytics back — one session, no console. The trade-off is scope: access is room-level (no per-document permissions — that's two rooms), and watermarking/download control are not enforced yet. If you need those today, use a traditional VDR.

Virtual data room pricing usually means a quote form. Here it's flat: data rooms are a Business-plan feature of ReportRoom at $59/mo, and the account creating them must be an org owner or admin.
